An Order for a Standard Plan is accepted by Rspective by making available the Services to Customer. An Order for a Custom Plan is accepted by Rspective through confirmation by two representatives of Rspective.
  2. Customer is responsible for the accuracy of the information necessary for placement of Order. Any access-data remain reserved for use by Customer according to its Order. In case of loss or misuse of access-data or reasonable suspicion thereof, Customer reports the event or suspicion within one business day to Rspective under terms@voucherify.io.
  3. Every Standard Plan starts with a cost-free period of 30 days after registration („Free Subscription“). Customer may only once enjoy a Free Subscription. In case Customer registers for more than one Free Subscription, Rspective has the right to delete Customer‘s accounts. As the Free Subscription expires Customer‘s subscription continues according to its placed Order.
  4. Unconsumed Service Units of a Service Period are not transferred to the following Service Period. The unconsumed Service Units do not entitle Customer to restitution of payment or any rebate.

3. Technical requirements and support

  1. The use of Rspective‘s Service is subject to technical details and conditions specified on Rspective’s website ("Technical Requirements").
  2. Customer is solely responsible for the fulfilment of the Technical Requirements; Rspective does not owe and/or provide any consultancy services in connection therewith if not otherwise explicitly agreed with Rspective.
  3. The use of Service may differ depending on the hardware and/or software used by the Customer.
  4. Rspective provides support for the Service according to Order and as specified under in the Rspective Service Level Statement For Voucherify. 3. Customer under a Standard Plan is required to provide Rspective with billing and account information for a Payment Source for which Customer is authorized to approve charges to allow Rspective to collect payment from Customer for its Order. Customer authorizes Rspective to automatically and immediately bill the Payment Source when payments for Service Periods are due. Customer shall only be allowed to raise an objection to a bill within 30 days starting from the day the billing was made. If no objection was raised, Rspective’s billing is deemed accepted by Customer.
  4. The stated prices are net prices exclusive of any applicable sales, use, value added and excise taxes levied upon the delivery or use of the taxable components, if any, of Customer’s subscription (collectively, “Taxes”). Taxes do not include any taxes on the net income of Rspective or any of its Affiliates. Customer will pay and be solely responsible for all Taxes. 2. Customer may terminate the Agreement notifying Rspective via e-mail under support@voucherify.io or through the Voucherify Dashboard with a notice of three working days until the end of a subscription period.
  3. Customer of a Standard Plan may switch to a cheaper subscription Standard Plan notifying Rspective via e-mail under support@voucherify.io or through the Voucherify Dashboard with a notice of three working days until the end of a current subscription period. Payments already made for the subscription will not be refunded. Instead, Rspective will use the credit to deduct payments for further uses within the cheaper plan.
  4. The right of termination for cause and without notice remains unaffected for both parties. A good cause for termination shall include, but shall not be limited to, any of the following events:
    a) Customer fails to comply with any applicable legal provisions;

  6. Upon the expiration or termination of this Agreement, (i) Customer shall have no further rights under any affected subscription(s); and (ii) any payment obligations accrued under Section 4 and 5, as well as the duties of Sections 7, 8, 9, 10, 11 and 12 of this Agreement will survive such expiration or termination.

  4. Customer has no remedies to the extent Rspective: (i) fails to conform with this warranty as a result of Customer’s modifications or Customer’s use with any third party hardware or software; or (ii) Voucherify is used for an unintended purpose, is used other than in accordance with its published documentation or specifications, or is otherwise used in breach of this Agreement.

9. Indemnification by customer

  1. Customer will indemnify, defend, and hold harmless Rspective and its officers, directors, employees for any and all claims, suits, litigation, causes of action, losses, damages, expenses, costs (including court costs and attorneys’ fees) and liabilities ("Losses") that arise out of, or in connection with, (i) Customer‘s use of Service; (ii) any breach by Customer of any warranty defined in Section 6; (iii) any claim that Customer’s Content caused damage to a third party.

10. Infringement claims

  1. Rspective will, at its expense:  (i) defend, or at its option settle, any claim brought against Customer by an unaffiliated third party alleging that Customer‘s use, during the applicable subscription term, of Services  infringed such party’s patent registered in the European Union, or any copyright or trademark of such party enforceable in the jurisdiction of Customer‘s use of the Services, or made unlawful use of such Party’s trade secret (each, an “Infringement Claim”) and (ii) indemnify Customer against and pay (1) any settlement of such Infringement Claim consented to by Rspective or (2) any damages finally awarded by a court of competent jurisdiction to such third party as relief or remedy  in such Infringement Claim.
  2. Rspective will have no obligation to Customer to the extent any Infringement Claim or resulting award is based upon or results from: (i) Customer‘s use of Services in a country that is not a contracting state to the Patent Cooperation Treaty; (ii) the failure of Customer to use, within thirty (30) days of Customer‘s receipt of notice from Rspective regarding the availability of such update and that such update addresses an infringement issue, an update of the Services that would have avoided the Infringement Claim; (iii) a modification of the Services that is not performed by or on behalf of Rspective; (iv) the combination, operation, or use of the Services with any other products, services or equipment not provided by Rspective or branded as Rspective products or services, where there would be no Infringement Claim but for such combination; (v) use of the applicable Service other than in accordance with this Agreement; (vi) damages attributable to the value of the use of any non-Rspective product or service or (vii) any third party open source software.

  4. The obligations of Rspective in this Section 10 are conditioned upon Customer (i) notifying Rspective promptly in writing of any threatened or pending Infringement Claim, provided that failure to provide such notice will only relieve Rspective of its obligations under this Section  to the extent its ability to defend or settle an applicable Infringement Claim is materially prejudiced by such failure to provide notice, (ii) giving Rspective, at Rspective’s expense, reasonable assistance and information requested by Rspective in connection with the defense and/or settlement of the Infringement Claim and (iii) tendering to Rspective sole control over the defense and settlement of the Infringement Claim. Customer’s counsel will have the right to participate in the defense of the Infringement Claim, at Customer’s own expense. Any failure of either Party to insist upon or enforce performance by the other Party of any of the provisions of this Agreement or to exercise any rights or remedies under this Agreement will not be interpreted or construed as a waiver or relinquishment of such Party’s right to assert or rely upon such provision, right or remedy in that or any other instance.
  12. The relationship of the Parties hereunder shall be that of independent contractors, and nothing herein shall be deemed or construed to create any employment, agency or fiduciary relationship between the Parties.
